Sherrington Associates is delighted to be retained by Merseyside Special Investment Fund (MSIF) to recruit two new members to their board of directors.
MSIF
MSIF, is a Liverpool based independent, private company limited by guarantee, created in 1994. MSIF is governed by a Board of non-executive directors acting and appointed by its Members (guarantors). There are currently two Members namely; the Liverpool Chamber of Commerce and MSIF Partners Limited.
MSIF’s prime objective is to provide a wide range of debt and equity funding to Small and Medium sized businesses (SMEs) predominately within the Liverpool City Region but also operating across the North West. All returns on MSIF’s investments are recycled into the Funds to be re-invested in local businesses. River Capital, a wholly owned subsidiary of MSIF with its own board, acts as the principal Fund Manager.
In addition, MSIF operates the LCR Finance Hub which assists new and existing SMEs in the LCR and surrounding areas access external funding; and the LCR Angel network.

MSIF are seeking to appoint new board members who can demonstrate the following qualities:
Required Knowledge & Experience:
- Exceptional strategic leadership experience within a related financial setting (essential)
- Experience operating effectively in a boardroom environment where key decisions about investments, governance, funding and compliance are fundamental (essential)
- A good understanding of (and empathy for) the contemporary needs and challenges of SME businesses (highly desirable)
- An impressive track record of board-level decision-making in one or more of the following areas:
o Legal (Corporate Finance / Governance)
o Accountancy (Audit / Tax)
o Fund Management
Required Competencies:
- Courageous decision-making (essential)
- Whole systems-thinking (essential)
- Long-term thinking (essential)
- Clear and collaborative communication across a variety of stakeholder groups (essential)
- Strong connections / profile within the Liverpool City Region (advantageous)
Required Character:
- A passion to help and support businesses within the Liverpool City Region and the wider North-West regional economy (essential).
- Well-aligned to the collaborative and innovative culture of the existing MSIF board (essential)
- Is inclusive and principled and operates with the utmost of integrity (essential).
Other:
- The ability to commit to six board meetings per year, and to promote MSIF and its subsidiaries through local and regional networking when required (essential).
Remuneration & Selection Process
Salary
The role of Non-Executive Director is remunerated at £12,000 per annum.
Expenses
Expenses for all board meetings are also paid in full. It is not expected that much travel beyond Liverpool will occur, but when / if it is required, travel, accommodation and sustenance expenses will be paid.
Hours & Time Commitment
The board meets six times a year in Liverpool. Including attendance at board meetings, the role of Non-Executive Director requires one day per month, working from home or wherever the appointed board member wishes to work. It is expected that on some occasions, when specific issues arise that require some flexibility, board members may work over the contracted one day per month.
